OFFICIAL RULES

To enter and participate in this Sweepstakes, you must agree to and abide by these Official Rules.

1. NO PURCHASE NECESSARY TO ENTER OR WIN. PURCHASE WILL NOT IMPROVE CHANCES OF WINNING. MUST BE LEGAL RESIDENT OF THE UNITED STATES AND AT LEAST 18 YEARS OLD AT TIME OF ENTRY. SWEEPSTAKES IS SUBJECT TO ALL FEDERAL, STATE, AND LOCAL LAWS. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

2. Entry Period: The "Dayton First Events Dayton Hoopla" Sweepstakes (the "Sweepstakes") begins at 8:00 a.m. (ET) on February 16, 2013 and ends at 11:59 p.m. (ET) on March 13, 2013 (the "Sweepstakes Period"). All entries must be received by 11:59 p.m. (ET) on March 13, 2013.

3. Eligibility: This Sweepstakes is open only to legal residents of the United States. Entrants must be at least eighteen (18) years of age or older at time of entry and have an active email account and internet access during the entirety of the Sweepstakes Period. Employees and their immediate families (i.e., parents, spouse, children, siblings, grandparents, step parents, step children and step siblings) of Dayton First Events, Inc. ("DFE"), and its affiliates, parents, subsidiaries, predecessors, successors, sponsors, advertising agencies and third party fulfillment agencies and their respective representatives, agents, employees, shareholders, officers, directors, members, managers, and assigns (collectively the "Sweepstakes Entities") are not eligible to enter this Sweepstakes. By participating in this Sweepstakes, entrants: (a) agree to be bound by these Official Rules and by the interpretations of these Official Rules by DFE and by the decisions of the Sweepstakes Entities, which are final in all matters relating to this Sweepstakes; (b) release and hold harmless the Sweepstakes Entities from any and all actions, claims, injury, loss or damage, including, without limitation, death and bodily injury, arising in any manner, directly or indirectly, in whole or in part, from participation in this Sweepstakes or any Sweepstakes-related activity (including without limitation, any travel or activities related to acceptance and/or use of any Prize), and/or from entrants' acceptance, receipt, use or misuse of any Prize; and (c) acknowledge compliance with these Official Rules.

4. Sweepstakes Overview: This Sweepstakes is one sweepstakes wherein 100 prize winners will be selected following the conclusion of the Sweepstakes Period (collectively, the "Prize Winners"). The odds of winning a Prize (as defined below) depend on the number of Eligible Entries (as hereinafter defined) received.

5. To Enter: There is one ways to enter the Sweepstakes:

(i) Online: To enter the Sweepstakes online, an eligible entrant must logon to daytonhoopla.com (the "Website") and submit his/her valid email address. Entrant must then submit the registration information requested by Sponsor including, but not limited to: first and last name (no initials). Once submitted, the entrant will receive one (1) entry into the Sweepstakes; or

All entries submitted in accordance with these Official Rules shall be collectively hereinafter referred to as the "Eligible Entries." Limit one entry per person, regardless of entry method.

In the event of a dispute over who submitted a winning Eligible Entry electronically, the authorized subscriber of the email account used to submit an Eligible Entry through the Website and participate in this Sweepstakes at the actual time of entry will be deemed to be the entrant. The authorized account subscriber is defined as the natural person who is assigned an email address by an internet access provider, online service provider, or other organization (e.g. business, education, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. All entries become the property of DFE and will not be acknowledged or returned.

By participating in the Sweepstakes, entrants hereby agree to the collection and usage of their personal information pursuant to the Dayton Hoopla Sweepstakes Privacy Policy located at: daytonhoopla.com/privacy.

6. Prize Winner Selection/Notification: The Prize Winners will be randomly selected on or about March 14, 2013 at 1:00 p.m. (ET) from among all of the Eligible Entries received. DFE will make up to two (2) attempts over the 48-hour period following the selection of the Prize Winners to contact each potential Prize Winner via the email address provided on his/her entry form. If a potential Prize Winner cannot be reached during the 48-hour period in which he/she is emailed the potential Prize Winner will be disqualified and an alternate Prize Winner will be selected from among the remaining applicable Eligible Entries received, if time permits.

7. Prize Winner Verification: The potential Prize Winners must prove eligibility, including, without limitation, proof of age and residence within five (5) days of being notified as a potential Prize Winner. In the event of non-compliance by a potential Prize Winner, such potential Prize Winner shall be disqualified and all privileges otherwise due as the Prize Winner shall be terminated and an alternative potential Prize Winner may be chosen from among all of the remaining applicable Eligible Entries received in DFE's sole discretion. To be eligible to win a Prize, each potential Prize Winner must sign and return within three (3) days of receipt of such documents from DFE: (a) an affidavit of eligibility and release of Sweepstakes Entities from any and all liability, loss, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered directly or indirectly in connection with this Sweepstakes or the possession or use/misuse or acceptance of a Prize or any portion thereof; and (b) except where prohibited by law, a promotional release granting Sweepstakes Entities the right to use the potential Prize Winner's name and likeness for advertising and publicity purposes without additional compensation. Entry into this Sweepstakes constitutes agreement to sign such releases. Each Prize Winner also must acknowledge that Sweepstakes Entities have not and will not obtain or provide insurance of any kind relating to the Prizes and that Prize Winner will be responsible for obtaining and paying for any life, travel, accident, property or other form of insurance relating to the Prize. Each Prize Winner must also complete any additional legal documents provided by DFE (or third party on its behalf, if applicable) with respect to the Prize and return them as instructed within the timeframe specified by DFE, or such Prize Winner may forfeit the Prize at DFE's sole discretion. All decisions of DFE relating to this Sweepstakes are final.

8. Prizes:

Prizes: 100 Prize Winners will each receive: two (2) tickets to an NCAA® Men's college basketball game chosen by DFE, in DFE's sole discretion, in connection with the NCAA First Four®, held March 19-20, 2013, in Dayton, Ohio (the "Event") (each, a "Prize", and collectively, the "Prizes").

Notwithstanding anything to the contrary contained herein, all details of all Prizes shall be at DFE's sole discretion. The Prizes do not include anything other than as specifically set forth in these Official Rules. Event and Event dates are subject to modification, change, or cancellation. If any Prize Winner is unable to accept any Prize for any reason, such Prize Winner's privileges and Prize will be terminated and an alternative Prize Winner will be selected from the remaining Eligible Entries, if time permits. Restrictions, conditions and limitations may apply. All Prize Winners and guests must provide, and be responsible for all costs associated with, transportation to and from, and lodging in, Dayton, Ohio, if applicable. Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitution of the Event or any part thereof, or any act or omissions whatsoever by air carriers, hotels, or other transportation companies or any other persons providing any of these services and accommodations necessitated by same. Sweepstakes Entities shall not be liable for any loss or damage to baggage or other personal effects.

All dates and times are subject to change in Sweepstakes Entities' sole discretion. If for any reason any Prize-related component is delayed, cancelled or postponed, Sweepstakes Entities reserve the right, but are not obligated, to cancel or modify this Sweepstakes in their sole discretion and may award a substitute prize of comparable or greater value.

The approximate retail value ("ARV") of each Prize is $80.00.

The ARV of each Prize is subject to change based on market conditions. Any difference between the ARV and the actual value, if any, will not be awarded. If, for any reason Sweepstakes Entities are unable to provide tickets to the Event, Sweepstakes Entities' only obligation is to award a prize of comparable or greater value, in Sweepstakes Entities' sole discretion.

THE SWEEPSTAKES ENTITIES MAKE NO WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE ACCEPTANCE OR USE OF ANY PRIZE, INCLUDING, WITHOUT LIMITATION, ITS/THEIR QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

9. General Prize Terms: Arrangements for fulfillment of the Prizes will be made by DFE. All costs and expenses not specifically listed as part of the Prizes above, including, without limitation, transportation, lodging, and any products or services used in connection with the Prizes are solely Prize Winners' responsibility. The value of each Prize will be taxable to each Prize Winner as income. Each Prize Winner must supply DFE with his/her social security number for tax purposes. IRS Form 1099s may be issued in the name of each Prize Winner for the actual value of the Prize received. Upon entry into this Sweepstakes, all entrants are required to comply with any and all applicable federal, state, and local laws, rules, and regulations. All federal, state and local taxes, and any other costs not specifically provided for in these Official Rules are solely the responsibility of each Prize Winner. Sweepstakes Entities shall have no responsibility or obligation to any Prize Winner or potential Prize Winner who is unable or unavailable to accept or utilize the Prize as described herein.

No substitution, transfer, or cash equivalent of any Prize or any portion thereof is permitted, except by Sweepstakes Entities, in which case a prize of comparable or greater value may be awarded.

10. General Terms: Noncompliance with any of these Official Rules may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY POTENTIAL PRIZE WINNER OR PRIZE WINNER OR ANY BEHAVIOR BY ANY POTENTIAL PRIZE WINNER OR PRIZE WINNER THAT WILL BRING SUCH PRIZE WINNER OR ANY OF THE SWEEPSTAKES ENTITIES INTO DISREPUTE (IN SWEEPSTAKES ENTITIES' SOLE DISCRETION) WILL RESULT IN SUCH PRIZE WINNER'S DISQUALIFICATION AS A PRIZE WINNER OF THIS SWEEPSTAKES AND ALL PRIVILEGES AS PRIZE WINNER WILL BE IMMEDIATELY TERMINATED.

The Sweepstakes Entities assume no responsibility for incomplete, incorrect, or inaccurate entry information whether caused by any of the equipment, software, or programming associated with or utilized in this Sweepstakes or by any human, mechanical, or electronic error which may occur in the processing of the entries in this Sweepstakes. The Sweepstakes Entities are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any email on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including, without limitation, any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Sweepstakes. The Sweepstakes Entities are not responsible for any typographical or other error in the printing of the offer, administration of this Sweepstakes, errors in processing entries, identifying the Prize Winners or in the announcement of any Prize or Prize Winner. If, for any reason, this Sweepstakes is not capable of running as planned, including, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sweepstakes Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, DFE reserves the right in its sole discretion to cancel, terminate, modify or suspend this Sweepstakes. Should this Sweepstakes be terminated prior to the stated expiration date, notice will be posted on the Website during the Sweepstakes Period and the Prizes may be awarded to winners to be selected from among all Eligible Entries received up until and, or after (if applicable) the time of modification, cancellation or termination or in a manner that is fair and equitable as determined by DFE in its sole discretion. All interpretations of these Official Rules and decisions by DFE are final. No software-generated, robotic, programmed, script, macro or other automated online entries are permitted. DFE reserves the right in its sole discretion to disqualify any individual they suspect or find (a) to have used a software generated, robotic, programmed, script, macro or other automated online entry, (b) to have tampered with the entry process or the operation of this Sweepstakes, (c) to be acting in violation of these Official Rules, (d) to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or (e) to have provided inaccurate information on any legal documents submitted in connection with this Sweepstakes. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SWEEPSTAKES ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE OHIO COURTS (STATE AND FEDERAL) SHALL HAVE EXCLUSIVE JURISDICTION OF ANY CONTROVERSIES REGARDING THIS SWEEPSTAKES AND THE LAWS OF THE STATE OF OHIO SHALL GOVERN THIS SWEEPSTAKES. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS. Entrants agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from this Sweepstakes, to release all rights to bring any claim, action, or proceeding against the Sweepstakes Entities, and hereby acknowledge that Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prizes.

11. Request for Name of Prize Winners and Official Rules: For the name of Prize Winners and/or these Official Rules, send a self-addressed stamped envelope to:

All requests for a copy of these Official Rules and/or for the names of the Prize Winners must be made by March 18, 2013. Please note on the front left-hand corner of your outer envelope whether you are requesting "Official Rules" and/or the name of the "Prize Winners".

12. Miscellaneous: The names of individuals, groups, companies, products and services mentioned herein, and any corresponding likenesses, logos and images thereof reproduced or use in connection herewith, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group, or company, or the inclusion of a product or service as a prize, does not imply any association with or endorsement by such individual, group, or company or the manufacturer or distributor of such product or service and, except as otherwise indicated herein no association or endorsement is intended or should be inferred.

The Sweepstakes is in no way sponsored, endorsed, administered by, or associated with, the National Collegiate Athletic Association (the "NCAA"), or the NCAA Men's Division I Basketball Championship.
